Mainland vs Free Zone in Dubai comes down to one thing: where your customers are. A mainland company can trade directly with customers anywhere in the UAE, including government bodies. A free zone company is built for international business and work inside its zone, and from 2025 it can also reach the Dubai mainland through an approved route.
That is the short answer. The longer one trips up first-time founders, because most guides still frame the choice as cheap and limited versus expensive and open. That trade-off has loosened. So skip “which is cheaper?” and ask: where are my first customers, and who will pay me?
If you’re planning to establish a business, understanding the available company formation options in the UAE is a useful starting point.

Why the Old Rule No Longer Tells the Whole Story
Ownership is no longer the dividing line
For years, the main reason to pick a free zone was 100% foreign ownership. Since the 2021 company law reforms, most mainland activities also allow full foreign ownership, with exceptions for strategic activities. If an older article says you need a local partner on the mainland, check its date.
Market access has changed in Dubai
The bigger shift came with Dubai Executive Council Resolution No. 11 of 2025. It gives free zone companies three ways to operate on the mainland:
- A branch in Dubai, licensed on the mainland
- A dual licence, where the branch operates from the free zone
- A temporary permit for specific activities, for up to six months
All three need approval from DET and the relevant free zone authority. Your activity must appear on DET’s approved list, and you must keep separate financial records for mainland activity. DIFC-registered financial institutions are excluded.
This applies to Dubai only. Other emirates have their own rules, so check before assuming it carries over.

The Customer-Location Test
Add up where your revenue will realistically come from in your first 12 months.
Mostly UAE customers: lean mainland
Restaurants, clinics, retail brands and services sold to local businesses are usually a cleaner fit with a mainland company setup. You can invoice anyone in the UAE, bid for government work, and add visas as your office grows.
Before choosing this route, consider the licensing, office and documentation requirements involved in mainland company setup in the UAE.
Mostly overseas customers: lean free zone
An international consultancy, a software company with global clients or an export business gets a lower-cost base and a simpler setup through a free zone company setup, without paying for mainland features it will not use. Check the tax side before assuming a saving: the 0% rate depends on your activity and your counterparties, not only on where your clients sit.

A mix of both: do the maths first
A free zone company with a mainland branch or an approved permit may serve mainland customers, but the tax treatment changes. A Qualifying Free Zone Person can enjoy a 0% rate on qualifying income. Income attributable to a mainland branch that counts as a Domestic Permanent Establishment is generally taxed at the standard 9%.
For other non-qualifying revenue, the de minimis limit is generally the lower of 5% of total revenue or AED 5 million. Breach the conditions and you can lose Qualifying Free Zone Person status for that tax period and the following four.
If you expect 30%, 50% or more of revenue from UAE customers, model both structures before you commit.

Offshore vs Free Zone: Where Offshore Fits
Founders often confuse offshore and free zone companies, but they do different jobs. An offshore company mainly holds assets, owns shares or signs international contracts. It generally cannot run day-to-day operations in the UAE or sponsor residence visas. A free zone company gives you a licence to operate, a UAE base and visa eligibility.
If you want to live and work in the UAE, offshore alone will not do it. Learn more about offshore company setup in the UAE to understand when this structure may suit your plans.
The Costs Founders Forget
Free zone packages look cheaper on paper, and often are. But the headline price hides a few things:
- Visa quotas. A flexi-desk package limits how many visas you can hold. Mainland visas scale more easily with office space.
- Switching later. Moving fully to the mainland generally means cancelling your free zone licence and applying for a new DET licence. A mainland branch avoids that but adds DET fees and compliance work. A cheap setup now can become an expensive restructure in year two.
- Compliance. Corporate tax registration, record-keeping and audits apply to both structures. Free zone status does not remove them.
- Banking. Account opening depends on your activity, ownership and documents, not only on your licence type.

Frequently Asked Questions
Is the mainland or free zone better in Dubai?
Neither is better in general. Mainland suits businesses selling mostly to UAE customers or government bodies. Free zone suits businesses serving mainly international clients or operating within a zone.
Can a free zone company work on the Dubai mainland?
Yes, since Dubai Executive Council Resolution No. 11 of 2025, through a mainland branch, a dual licence or a temporary permit. All routes need DET and free zone approval, and your activity must be on DET’s approved list.
Do mainland companies need a local partner?
Not for most activities. Since the 2021 reforms, full foreign ownership is allowed for most mainland businesses, with exceptions for strategic activities.
Do free zone companies pay corporate tax?
Only in some cases. A Qualifying Free Zone Person pays 0% on qualifying income and 9% on the rest, provided it meets the conditions. Failing them can mean losing that status.
Is a free zone cheaper than the mainland?
Often at setup, but visa limits, compliance and a later switch to the mainland can erase the savings.
